Membership Announcement: Proposed UPPO Bylaw Amendments

In accordance with Bylaws, Article IX. Amendments, proposed amendments to Articles III, IV and VII require approval by the membership in attendance at the Annual Business Meeting. The following proposed amendments will be considered by the membership at the 2018 Annual Business Meeting to be held on March 5, 2018, during the annual conference.
Introduction:
During the 2017 nominations process for the open seats on the Unclaimed Property Professionals Organization’s (UPPO) Board of Directors, the Nominating Committee requested that they Bylaws Committee review the eligibility requirements for nominations and the notice timeframes, which are inconsistent.
Timeframes for announcing slate of candidates and voting
Current language in Article VII. Elections and Voting, Section 1. Nominations, paragraph D:
- Each Member in good standing, through their Authorized Representative, shall be notified of the slate of candidates no later than sixty (60) days prior to the Annual Business Meeting of the Membership.
The sixty (60) day notice provision in this section is inconsistent with Article VII. Elections and Voting, Section 2. Voting, which requires notice of the voting process forty-five (45) days prior to the Annual Business Meeting of the Membership. The Bylaws Committee felt these notice provisions should be consistent and proposes changing the sixty (60) days provision to forty-five (45) days.

sixty (60) forty-five (45) days prior to the Annual Business Meeting of the Membership.
Eligibility
Current language in Article VII. Elections and Voting, Section 1. Nominations, paragraph E:
- To declare candidacy for any position as Director, an individual must be an eligible Authorized Representative or Associate of a Member in good standing, must have served on a UPPO Committee and attended at least two annual or regional meetings during the prior two fiscal years.
Because UPPO no longer holds regional meetings (formerly known as the Holder’s Seminar), the Bylaws need to be amended to reflect current practice. Additionally, because UPPO does use “work groups” as established to perform very specific and time-limited tasks, the Bylaws Committee felt service with an established work group should be considered in addition to committee service.
